Step-by-Step Change in lLP Partners Process

Document Collection

Obtain all required documents from the applicant proposed to be appointed as a designated partner of the LLP.

Partner Resolution

Convene a meeting of the existing designated partners and pass the necessary resolution for the appointment and/or resignation of designated partners.

Prepare the required documents, including the supplementary LLP Agreement, partner resolution, and meeting minutes, and obtain signatures from the designated partners.

Filing of Form LLP-3

File Form LLP-3 along with the supplementary agreement with the Registrar of Companies to record changes in the LLP Agreement.

Filing of Form LLP-4

Submit Form LLP-4 with all relevant documents to the Ministry of Corporate Affairs to update partner details.

Final Approval

Receive confirmation and approval from the concerned authority upon successful verification.

Why Is There a Need to Change Partners in an LLP?

Changes in partners may be required as a business evolves. LLPs may introduce new partners to bring in additional capital, expand operations, or benefit from specialized professional expertise. Similarly, existing partners’ roles or designations may change to support the growth and strategic direction of the business.

How Can Partners or Designated Partners Be Changed in an LLP?

Changes in partners or designated partners can be made with the consent of existing and incoming partners, in accordance with the First Schedule of the LLP Act. This requires the execution of a Supplementary LLP Agreement and completion of the prescribed statutory filings.

Who Can Be a Partner in an LLP?

Any individual or body corporate can become a partner in an LLP. However, an individual is not eligible to be a partner if they have been declared of unsound mind by a competent court, are an undischarged insolvent, or have applied for insolvency and the application is still pending.

Documents Required for LLP Partner Change

  • Written consent from the applicant agreeing to act as a designated partner
  • Supplementary LLP Agreement reflecting the change in partners
  • Resignation letter from the outgoing designated partner (if applicable)
  • Resolution passed by the designated partners approving the change
  • Minutes of the meeting of the designated partners
