How Can an LLP Change Its Registered Address?

An LLP can change its registered office either within the same state or from one state to another by filing the prescribed LLP Form-15 and LLP Form-3. These filings must be supported by the consent of partners and, where applicable, the approval of creditors as required under law.

Changing the LLP Registered Address Within the Same State

To change the registered address within the same state, Form-15 and Form LLP-3 must be filed with the concerned Registrar of Companies (ROC) within 30 days of passing the resolution. The following documents are required:

  • Consent from all partners
  • Supplementary LLP Agreement
  • Original LLP Agreement
  • Latest utility bill as proof of the new registered address
  • Signed No-Objection Certificate (NOC) from the property owner

  • Supplementary LLP Agreement reflecting the change in registered address
  • Minutes of the designated partners’ meeting authorizing the address change

  • Publication of a public notice at least 21 days prior to filing with the Registrar, in one English newspaper and one vernacular newspaper of the district where the LLP’s registered office is located (if required)
